Terms and Conditions

Welcome to Biotech Talent. These Terms and Conditions (“Terms”) govern your use of our Biotech Talent, which is operated by Hong Kong Life Sciences Society Limited. By accessing or using Biotech Talent, you agree to accept and be bound by these Terms, and you acknowledge that your information (which may include your personal data) may be collected and processed in accordance with our Personal Information Collection Statement and Privacy Policy. If you do not accept these Terms, please discontinue use of Biotech Talent immediately.

1. Definitions and Interpretations

(a) "Affiliate" refers to an employee, director, representative, associated company and/or agent of HKLSS. “Associated company” of HKLSS means any company that is HKLSS’ subsidiary or holding company or a subsidiary of HKLSS’ holding company.

(b) "Biotech Talent" refers to the job search platform accessible via the Website and includes all associated systems, database, Content, products and services.

(c) "Content" includes all text, images, logos, trademarks, button icons, hyperlinks, audios, videos, data, page layout and information used on or store with Biotech Talent and includes all User-Submitted Content.

(d) "Employer" refers to an individual or entity who has registered an “Employer” account on Biotech Talent.

(e) "HKLSS", "we" or "us" refers Hong Kong Life Sciences Society Limited, a company incorporated in Hong Kong with its registered office at 25/F Nan Fung Tower, 88 Connaught Road C., Central, Hong Kong, and "our" shall be construed accordingly.

(f) "Job Seeker" refers to an individual or entity who has registered a “Job Seeker” account on Biotech Talent.

(g) "User" or "you" refers to any individual or entity accessing and/or using any aspect of Biotech Talent, and includes Job Seekers, Employers, and all visitors of the Website, and "your" shall be construed accordingly.

(h) "User-Submitted Content" refers to all content submitted by you to Biotech Talent, including but not limited to your profile, contact details, job postings and/or resumes posted by you, inquiries, opinion, ideas, and all other text, images, logos, trademarks, hyperlinks, audios, videos, data and information submitted by you.

(i) "Website" refers to the website www.biotech-talent.com.

(j) Unless the context otherwise requires, words importing any gender include all genders, words importing the singular include the plural and vice versa, and words denoting natural persons shall include corporations.

2. Binding Agreement and Modifications

(a) These Terms constitute a legally binding agreement between HKLSS and each User.

(b) We may update these Terms from time to time. Continued use of Biotech Talent after updates constitutes acceptance of the revised Terms.

(c) If you do not agree to the Terms (as may be updated from time to time), you should discontinue use of Biotech Talent.

3. Registration and Account

(a) Users can browse job postings without registering an account.

(b) You may register as a Job Seeker or an Employer to access additional features subject to the additional terms applicable to Job Seekers or Employers (as the case may be).

(c) To create an account on Biotech Talent, you must have the legal capacity to enter into a binding contract under the laws of your country of residence.

(d) You must ensure that the information submitted for the registration (or at any time) is authentic, accurate, complete and not misleading or fraudulent in all aspects.

(e) All activities that occur within or through your account shall be solely your responsibility.

(f) When registering an account, you will be required to create a password. To prevent fraud, you are responsible for keeping your login credentials confidential and must not disclose or share them with others. Otherwise, any resulting losses or damage incurred or suffered by either you or us shall be solely your responsibility, and you agree to fully indemnify us for any loss or damage we may suffer as a result.

(g) You shall immediately notify us of any loss of password, or unauthorized use of your account.

(h) If there is any change to your registered information, you shall update your details as soon as practicable.

(i) We reserve the right to seek verification from you in relation to the information submitted by you. If you fail to complete the verification to our reasonable satisfaction, we may suspend or terminate your account.

(j) We shall have the absolute discretion to determine a User’s eligibility for account registration.

(k) We reserve the right to suspend or terminate any account without prior notice or compensation if we consider that there is likely to be a breach of security or misuse of account, or any violation of these Terms.

(l) A Job Seeker or an Employer may request for the deletion of his/her/their account, you will not be able to log in the account thereafter. All information of the Job Seeker or the Employer stored in our system will be deleted after we have received such request for deletion, save and except for some data that may be retained for legal, regulatory, record-keeping or operational purposes.

4. Ownership of Biotech Talent and Intellectual Property Rights

(a) All Content, save and except User-Submitted Content, and all rights, title and interests (including but not limited to intellectual property rights and proprietary rights) associated with Biotech Talent and/or the Website are owned by HKLSS.

(b) You hereby grant HKLSS a perpetual, worldwide, non-transferable, royalty free licence to copy, distribute, modify, adapt, use and display your own User-Submitted Content for the operation of Biotech Talent and/or for providing or making available our services to you. You acknowledge that you may withdraw the licence but we may then be unable to provide our services to you.

5. Your Use of Biotech Talent

(a) We grant all Users a personal, limited, revocable, non-exclusive and non-transferrable right to access and use Biotech Talent for employment-related purposes only.

(b) All Users agree not to:

(i) copy, distribute, modify, create any derivative works, reverse engineer, disassemble, decompile, transfer, exchange or commercially exploit any Content (save and except your own User-Submitted Content) without prior written permission from us;

(ii) transmit, post, or store any material in violation of applicable laws, regulations, or our Privacy Policy, including improper collection, processing, or transfer of personal information;

(iii) attempt to access unauthorized data, servers, or accounts; probe, scan, or test the vulnerability of our systems or networks;

(iv) post false, misleading, or illegal content, such as scams, fraudulent activities, or political endorsements; or post profiles, resumes, or apply for jobs on behalf of another party. Posting fake profiles or resumes to advertise or promote products or services is also prohibited;

(v) interfere with service to any User, host, or network, including by submitting viruses, overloading systems, or engaging in “spamming” or “flooding”;

(vi) use our services for any illegal purpose; or post content that is defamatory, offensive, abusive, discriminatory, or harassing;

(vii) use automated tools such as data mining, robots, screen scraping, or similar methods to gather, extract, or publish data from Biotech Talent or our Website. This includes, but is not limited to, using such tools to create, maintain, promote, or reproduce information from Biotech Talent or our Website on other websites or in any other publication without our prior written permission; or

(viii) use Biotech Talent or this Website for any purpose which is infringing any rights of HKLSS, its Affiliates and/or any other third parties, in any way, or otherwise prejudicial to the image and/or goodwill of HKLSS or Biotech Talent.

(d) You shall be solely responsible for all User-Submitted Content provided by you and our use of your User-Submitted Content in accordance with these Terms.

(e) You acknowledge that we may, but are not obliged to, publish your User-Submitted Content on the Website. We reserve the right to omit, suspend, edit or remove any Content, including any User-Submitted Content as we see fit without giving any reason and without prior notice or compensation.

(f) We may at any time and for whatsoever reasons, at our sole discretion, impose access or usage conditions, revoke your licence to use Biotech Talent, and/or exercise any rights available or reserved under these Terms to us, without prior notice or compensation.

6. Job Seeking

(a) Users may register as a “Job Seeker” and submit their profile, resume and other User-Submitted Content to Biotech Talent. To facilitate their job application, Job Seekers may choose (but it is not mandatory) to store some information, including their draft application letter and resume with Biotech Talent.

(b) Only individuals aged 18 or above are eligible to register an account on Biotech Talent as a “Job Seeker”.

(d) Job Seekers may not impersonate another person, and they are solely responsible for the form, content, and accuracy of the profile, resume, and any other User-Submitted Content they submit.

(e) Users may apply for a job posting by such means designated by the relevant Employer, which may include:-

(i) Directly submitting the job application via this Website

This feature is only available to Job Seekers. If a Job Seeker has previously stored his/her information with Biotech Talent, he/she will have the option to select which information stored with Biotech Talent will be shared with the Employer for the application. The Employer will only have access to the information that the Job Seeker explicitly choose to disclose. By applying for the job posting, the Job Seeker hereby agrees to our use of his/her information (including sharing of his/her personal information or sensitive information with the relevant Employer) in accordance with these Terms, our Personal Information Collection Statement and Privacy Policy.

(ii) Other means designated by the Employer, e.g. submitting the job application via another website

We may provide links to third-party websites or other information as may be provided by the Employers. The access and/or use of these third-party websites or information may be subject to additional terms and privacy policies which Users should carefully review. We shall not be responsible for any third-party website, information or service provided by the Employers or other third parties.

(f) Users acknowledge that the use (including data processing and transfer) of the information accessible by the Employers (whether via this Website or not) is not within our control and we shall not be responsible for the use of your information by the Employers.

(g) We do not guarantee job availability, job security, or Employer reliability.

7. Additional Terms applicable to Employers

(a) Only individuals or entities carrying on business in the biotechnology industry are eligible to register an account on Biotech Talent as an “Employer”.

(b) Employers shall access or use Biotech Talent for legitimate recruitment purposes only.

(d) Each job posting must contain information about the identity of the Employer and contact details, and may be viewed, accessed or used by all other Users for employment-related purpose.

(e) Each Employer shall be solely responsible for handling any complaint, enquiry, request, application or issue relating to its job posting.

(f) Employers may not post fraudulent, fake, or irrelevant job opportunities, and shall be solely responsible for the content and accuracy of their own job postings.

(g) By posting a job, you agree to keep any Job Seeker’s profiles, resumes, and application materials that may be provided to you confidential and secured, and agree to use such information in good faith, solely for recruitment purposes, and in compliance with all applicable laws (including all applicable data protection laws).

(h) We do not guarantee the suitability, qualifications, or availability of candidates, nor do we verify the accuracy of information provided by them (whether provided via our Website). Employers are solely responsible for evaluating candidates and conducting due diligence.

8. Disclaimer and Limitation of Liability

(a) We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to any Content for any purpose. Any reliance you place on the Content is therefore strictly at your own risk.

(b) We do not endorse or guarantee any Employer, the suitability of Job Seeker or any User-Submitted Content (including any such content adapted by us or published on the Website). Users should independently verify any information before relying on it.

(c) In no event will HKLSS or its Affiliates be liable for any loss or damage, including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with, the use of Biotech Talent.

(d) HKLSS or its Affiliates shall not be liable for technical issues, service interruptions, or third-party misuse of any Content. We do not guarantee uninterrupted or error-free operation of our Website. Access to the Website may occasionally be limited or suspended for maintenance, repairs, or updates.

(e) Through this Website you may link to other websites for additional job-related information which are not under the control of HKLSS or its Affiliates. We have no control over the nature, content and availability of those sites. The inclusion of any links does not necessarily imply a recommendation or endorse the views expressed within them.

(f) We shall not be regarded as having breached any Terms and shall not be held responsible or be liable to any person for any loss or damage whatsoever brought about by any event of force majeure (including but not limited to typhoon, fire, flood, casualty, unavoidable accident, breakdown of equipment, strikes, Act of God, epidemic, pandemic, quarantine, regulations of any governmental or regulatory authority, any cause or event arising out of or attributable to war, or any other cause or event (whether of a similar or dissimilar nature) outside our reasonable control).

9. Indemnity

To the maximum extent permitted by law, you shall indemnify in full, defend and hold harmless HKLSS and its Affiliates against and from all costs, expenses, claims, complaints, actions, government procedures, liabilities, damages and loss (whether direct or indirect), including any interest, fines, legal and other professional fees and expenses awarded against, incurred, paid or suffered by HKLSS and/or its Affiliates as a result of or in connection with:

(a) any breach of these Terms by you;

(b) your use of Biotech Talent; or

10. Miscellaneous

(a) We shall have the right, without any prior notice or compensation, to suspend, discontinue, withdraw or change all or any part of the Website and/or Biotech Talent at any time in our absolute discretion.

(b) We shall have the right to transfer, assign, charge, sub-contract or otherwise dispose of any of the rights or obligations under these Terms and/or Biotech Talent on such terms and conditions as we may at our sole discretion think fit at any time without any prior notice.

(d) The failure or delay of HKLSS or any of its Affiliate to enforce its rights under these Terms at any time for any period shall not be construed as a waiver of such rights.

(e) If any provision or part-provision of these Terms is found by any court or other authority of competent jurisdiction to be invalid or unenforceable, any such invalidity or unenforceability shall not affect the validity and enforceability of the other provisions of these Terms, which shall remain in full force and effect.

(f) In case of dispute, we reserve the right of final decision on all related matters.

(g) In case of discrepancies between the English version and any translation of these Terms, the English version prevails.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Hong Kong SAR and you agree to submit to the exclusive jurisdiction of the courts of Hong Kong SAR.
